Terms of Use
These Terms govern your use of Charti AI Health Inc.'s clinical-documentation services. By creating an account or accessing the product, you agree to them.
1. Definitions
- Charti — Charti AI Health Inc., the provider of the Services.
- You / Customer — the clinician, clinic, or organization accessing the Services.
- Services — the ambient scribe, Ask Charti, form auto-fill, EMR export, and related features offered via platform.charti.ai.
- Clinical Content — session audio, transcripts, generated notes, and other patient information you process through the Services.
2. Eligibility and clinician responsibility
The Services are intended for licensed clinicians and authorized clinic staff. You are responsible for obtaining patient consent to record the encounter where required by law or your regulatory college, and for reviewing every note before signing it. Charti is a tool; you remain the clinician of record.
3. Your account
Keep your login secure. Accounts are per-clinician and may not be shared. You're responsible for activity under your credentials. Tell us at admin@charti.ai immediately if you suspect unauthorized use.
4. Acceptable use
You agree not to:
- Use the Services to process data you are not legally authorized to process.
- Reverse-engineer, scrape, or probe the Services for vulnerabilities outside an authorized security program.
- Upload malware, or interfere with availability or integrity of the Services.
- Resell or white-label the Services without a separate agreement.
5. Data and privacy
How we handle Clinical Content is governed by our Privacy Policy and, for US customers, our Business Associate Agreement. For Canadian customers, Charti acts as an Information Manager under PHIPA / Loi 25. We do not train models on your Clinical Content.
6. Fees and billing
Pricing is on the pricing page. Monthly plans cancel at the end of the billing cycle. Annual plans are prorated if you cancel within the first 30 days; otherwise they run to term. Fees are exclusive of applicable taxes. Canadian customers are billed in CAD at the equivalent published rate.
7. Intellectual property
The Services, including models, UI, and documentation, are owned by Charti. Clinical Content belongs to you or your patients. You grant us a limited license to process Clinical Content solely to deliver the Services.
8. Service changes
We improve the product continuously. Material changes that degrade existing paid features are communicated at least 30 days in advance. We may add, remove, or alter beta features without notice.
9. Warranty disclaimer
Charti generates draft documentation for clinician review. The Services are provided “as is.” We do not warrant that output is clinically complete or free of errors. The clinician is responsible for reviewing and signing every note.
10. Limitation of liability
To the maximum extent permitted by law, Charti is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or clinical outcomes. Our aggregate liability in any 12-month period is limited to the fees you paid in that period.
11. Termination
You can cancel anytime from the billing page. We may suspend or terminate accounts that breach these Terms, with notice where practical. On termination we delete Clinical Content within 30 days unless law requires a longer hold.
12. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws rules. Disputes are subject to the exclusive jurisdiction of the courts of Ontario, save where mandatory consumer-protection law requires otherwise.
13. Changes to these Terms
We may update these Terms. Material changes will be notified by email at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance.
